Capital Markets Attorneys

We are seeking highly qualified Capital Markets junior-level / mid-level associates to work out of our Toronto office. All candidates will have 2 - 4 years (classes 2022 - 2024) of capital markets experience, currently licensed and in good standing with the New York state bar, currently have Am Law 100 firm experience, and currently or previously had experience in the U.S. who wants to ultimately move to Toronto. We expect all associates to have experience in IPOs, debt-equity offerings, at-the-market (ATM) offerings, private investment in public entities (PIPEs), SEC compliance and disclosures, corporate governance compliance, and general ‘34 Act reporting. Associates with experience dealing with financial, energy, technology, and/or life sciences sectors are a plus. Superior academic credentials and excellent verbal, written, and interpersonal skills required. The starting base salary for this position is expected to be between $235,000 to $310,000 annually.

Project Finance Attorney / Counsel

We are seeking a highly qualified mid-level associate to senior-level/counsel to work out of our Toronto office. The candidate should have 3 - 12 years (classes 2014 - 2023) of project finance experience with an emphasis on the energy and power sector (including renewable energy). Experience may include representing borrowers/sponsors or lenders/arrangers in connection with domestic or international non-recourse or limited recourse project finance transactions, acquisition financing, tax equity financings, and other secured financing transactions involving projects or portfolios of projects. We expect the associate to have some or all of the experience as follows, e.g., (drafting credit agreements, depositary agreements, third-party consents, and related ancillary financing documents, as well as experience in drafting, evaluating, and negotiating project contracts such as power purchase agreements, balance of plant agreements, turbine supply agreements, solar equipment supply agreements, operating and maintenance agreements, energy management agreements, and other project contracts customarily associated with wind, solar, and other power developments). Interested candidates must possess a high level of academic achievement, Am Law 100 firm experience, and superb writing and communication skills. Ontario Bar is required.
